By accessing or using Badrica's website, platform, or services, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, event organisers, attendees, and others who access or use our platform.

Badrica provides event management software and on-site technical support services, including but not limited to: • Cloud-based event registration and ticketing • QR code check-in and badge printing • Live attendance tracking and dashboards • On-site technical crew deployment • Hardware rental (scanners, printers, tablets) • Guest list management and data reporting We reserve the right to modify, suspend, or discontinue any part of our services at any time.

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete. Badrica reserves the right to suspend or terminate accounts that violate these terms or are inactive for an extended period.

All fees for Badrica services are quoted in Ugandan Shillings (UGX) unless otherwise stated. Payment terms are specified in your service agreement or invoice. For ticket sales processed through our platform, Badrica charges a service fee as disclosed at the point of transaction. This fee is non-refundable. Refund policies for events are set by the respective event organisers. Badrica processes refunds according to the organiser's instructions but is not liable for refund decisions made by organisers.

All content, software, designs, logos, and materials on the Badrica platform are the property of Badrica or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Badrica content without our prior written consent. Event organisers retain ownership of their event data, attendee lists, and branding materials uploaded to the platform.

Badrica collects and processes personal data in accordance with our Privacy Policy and applicable data protection laws, including the Uganda Data Protection and Privacy Act, 2019. By using our services, you consent to the collection, use, and sharing of your data as described in our Privacy Policy. Event organisers are responsible for obtaining necessary consents from attendees for data collection and processing related to their events.

You agree not to use Badrica's services to: • Violate any applicable laws or regulations • Infringe upon the rights of others • Distribute harmful, fraudulent, or misleading content • Interfere with the security or operation of our platform • Harvest or collect personal data without consent • Resell or commercially exploit our services without authorisation Badrica reserves the right to investigate and take appropriate action against violations.

Badrica provides its services on an "as is" and "as available" basis. We do not guarantee that our services will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by law, Badrica shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services. Our total liability for any claim arising from these terms shall not exceed the amount you paid to Badrica for the specific service giving rise to the claim.

You agree to indemnify, defend, and hold harmless Badrica, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in connection with: • Your use of our services • Your violation of these terms • Your violation of any third-party rights • Any content you submit to the platform This indemnification obligation survives the termination of these terms.

Badrica may suspend or terminate your access to our services at any time, with or without notice, for any reason, including violation of these terms. Upon termination, all licenses and rights granted to you will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any dispute arising from these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to mediation in Kampala, Uganda. If mediation fails, parties may pursue remedies in the courts of Uganda.

Badrica reserves the right to modify these terms at any time. We will notify users of material changes via email or through our platform. Continued use of our services after changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
